1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and SHOW n DO Inc., a Delaware corporation, operating as InkMotion ("we," "our," or "us"). By accessing or using the InkMotion platform, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use our service.

2. Description of Service

InkMotion is an AI-powered video creation platform that enables users to transform documents, ideas, and concepts into narrated explainer videos. Our service operates on a minute-based system where users consume minutes to generate and render videos.

3. Account Terms

To use InkMotion, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription & Billing

Subscription Plans

We offer various subscription tiers (Free, Lite, Pro, Scale, Enterprise) with different minute allocations and features. Details of each plan are available on our pricing page.

Automatic Renewal

Paid subscriptions automatically renew at the end of each billing period unless cancelled. You may cancel your subscription at any time through your account settings.

Usage Allowance

Minutes are allocated monthly based on your subscription tier. Unused minutes may roll over according to your plan terms. Minutes are consumed when generating storyboards and rendering videos.

Price Changes

We reserve the right to modify our pricing. Any price changes will be communicated to you at least 30 days before taking effect on your next billing cycle.

5. Refund Policy

• Include your account email and reason for the refund request
• Unused minutes may be eligible for refund at our discretion
• Refund requests are typically reviewed within 5-10 business days
• Approved refunds will be processed to the original payment method

We are not obligated to provide refunds for minutes that have been consumed or for subscription periods where the service was accessible and functioning as described.

6. Intellectual Property

Your Content

You retain all rights to the content you upload to InkMotion. By uploading content, you grant us a limited, non-exclusive license to process, transform, and store your content solely for the purpose of providing our video creation service.

Generated Videos

You own the videos generated using our service, subject to any third-party rights in the source materials you provide. You are responsible for ensuring you have the right to use any content you upload.

Our Platform

InkMotion, including its technology, design, features, and all related intellectual property, is owned by SHOW n DO Inc. Nothing in these Terms grants you any rights to our intellectual property except as explicitly stated.

7. Acceptable Use

You agree not to use InkMotion to:

• Create, upload, or distribute illegal, harmful, or offensive content
• Infringe upon the intellectual property rights of others
• Transmit malware, viruses, or other harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the service or servers
• Use automated systems or bots to access the service without permission
• Create content that promotes discrimination, hatred, or violence
• Impersonate others or misrepresent your affiliation with any person or entity

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOW N DO INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF INKMOTION.

Our total liability for any claims arising from your use of the service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the service will be uninterrupted, error-free, or completely secure. You use the service at your own risk.

10. Termination

By You: You may cancel your subscription and close your account at any time through your account settings. Upon cancellation, you will retain access until the end of your current billing period.

By Us: We may suspend or terminate your account if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to other users, third parties, or InkMotion.

Upon termination, your right to use the service ceases immediately. We may delete your data in accordance with our data retention policies.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of InkMotion shall be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

12. Changes to Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' notice by email or through the service before the changes take effect.

Your continued use of InkMotion after the effective date of any changes constitutes your acceptance of the modified Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
